Terms and Conditions

Taxperience N.V. ("Taxperience") is a limited liability company organised and existing under Dutch law. The purpose of Taxperience is to provide tax consultancy services and to undertake any such other activities as are related thereto in the broadest sense of the word. Taxperience may also retain third parties to help perform services commissioned by its clients. |

All services by Taxperience are provided under a contract for professional services. Taxperience regards all commissions by clients as having been placed with the organization as a whole, even when the client had a specific associate or employee of Taxperience in mind when granting the commission. The applicability of Section 7:404 of the Dutch Civil Code, which specifically deals with this matter, and Section 7:407(2) of the Dutch Civil Code, which gives rise to joint and several liability in this regard, is hereby expressly excluded. |

Under the Dutch Act for the Prevention of Money Laundering and Financing of Terrorism (Wet ter voorkoming van witwassen en financieren van terrorisme (Wwft)), Taxperience is obliged to report all transactions that are unusual in one way or another. The client may not be informed of any such reporting or intention to report. The party filing the report will be indemnified against both criminal prosecution and civil liability. Also, under the Dutch Act for the Prevention of Money Laundering and Financing of Terrorism (Wet ter voorkoming van witwassen en financieren van terrorisme (Wwft), clients must provide or arrange for the provision of identity papers before Taxperience may provide any services. |

Services commissioned are billed either on the basis of hours worked or at fixed or quoted rates. In the event of fixed or quoted rates, unforeseen additional work may have to be billed separately. Fixed rates may be amended without prior notice. If a client suspends or revokes a commission at any time, all interim costs will be billed. Any costs incurred by Taxperience having to provide double services as a result of a commission having been suspended will be charged to the client. Third-party fees, including any interim changes to such fees, will also be charged to the client. Taxperience will in no event be considered the client of any such third parties. |

If any act or omission during the provision of services requested gives rise to any liability on the part of Taxperience, said liability will be limited to the amount paid out in the case concerned under Taxperience's professional liability insurance (excess included). If any personal injury or property damage is caused during the provision of services or otherwise and Taxperience is held liable, such liability will be limited to the amount paid out in the case concerned under Taxperience's general liability insurance (excess included). |
| 6. | Third parties retained to provide services for the benefit of a client may also wish to limit their liability. Taxperience operates on the assumption, and hereby stipulates, that all commissions granted to Taxperience entail an authorisation for Taxperience to accept any such limitation of liability on the relevant client's behalf. |

If any services commissioned by a client make it necessary for Taxperience to engage the services of an unrelated party to carry out specific work, Taxperience will not be liable for any errors made by such party. |

The legal relationship existing between Taxperience and its clients will be governed by Dutch law. The Dutch courts have exclusive jurisdiction over any and all disputes that may arise between Taxperience and any of its clients. |

These General Terms and Conditions inure to the benefit of both Taxperience and all third parties retained to provide any of the services commissioned by a client. This applies equally to former employees, or their general heirs, who are held liable after they have left Taxperience. |

These General Terms and Conditions extend to all additional or follow-up contracts for professional services. |
